01

Operator and agreement

Popriva is operated by Lost Hills LLC, doing business as Popriva, formed in Wyoming, United States. Public mailing address: 1480 Colorado Blvd, Ste 200A #209, Los Angeles, CA 90041, United States. Contact: [email protected].

Effective date: October 22, 2026; applies when this version is presented for new activity and accepted where agreement is required. Document version: 2026-10-22-legal-1. These terms do not replace your previously accepted booking agreement.

These Terms govern access to the Popriva website, accounts and marketplace. By selecting an agreement control that identifies these Terms, you agree to the identified version. The Privacy Policy explains personal-data handling; acknowledging that notice is separate from consenting to optional marketing or tracking.

02

Eligibility and authority

You must be at least 18 years old and legally able to enter a binding agreement. Service availability: Worldwide, subject to applicable law, sanctions, platform eligibility and the payment provider’s supported countries; availability of an account does not guarantee eligibility to buy, accept work or receive payouts in every country. You must have legal capacity to enter the applicable agreement. If acting for an artist, label, company or other person, you must have authority to bind that person and provide accurate details. Do not misrepresent your location, age or authority to bypass eligibility or provider restrictions.

Individual artists and business buyers may use the service. The protections that apply depend on your actual legal status and transaction, not simply the account label. Mandatory protections apply whenever the law treats you as a consumer, regardless of a business label in your profile.

03

Accounts and workspace access

Select the artist or creator account role accurately at registration. The current account flow treats this choice as permanent; contact support if it is incorrect. Keep credentials secure, use available security controls and promptly report unauthorized access. Do not share another person’s authentication credentials. Organization owners must assign team access appropriately and remove access when authority ends.

You remain responsible for instructions you authorize. An account compromise does not automatically settle who bears a disputed payment loss; we will examine the facts and applicable law. Profiles and campaign records have access controls, and uploading information does not make every part of your account public.

04

What Popriva provides

Artists prepare briefs and select specific creator accounts for fixed-price original TikTok videos. Creators decide whether to accept funded invitations and perform accepted work. A planning budget is a spending guide; it is not itself a payment or commitment to buy every available creator.

The artist commissions the accepted creator to supply the agreed video-posting service. Popriva supplies the marketplace, booking coordination and payment administration. Popriva administers charges, receipts and refunds through its payment provider. This allocation does not exclude any responsibility the law places on Popriva as platform, payment-collecting party or supplier. Payment collection technology alone does not establish who legally sells a service. The purchase confirmation must identify the applicable supplier and responsibilities before payment.

Popriva does not promise that a creator will accept, that content will achieve any number of views, or that a campaign will generate streams, followers, sales or income. Social metrics may be delayed, incomplete or affected by third-party platforms.

05

Documents and booked obligations

The Artist Terms, Creator Terms, Refund Policy, Marketplace Rules, Acceptable Use Policy and Paid Promotion and Music Rights guidance apply to the relevant activity. A signed business agreement applies where it expressly identifies its scope. Mandatory law takes priority. A booking’s recorded brief, package, price, deadlines, revision allowance, private creator commission preview and accepted policy versions govern that booking’s specific obligations. These general Terms govern matters not covered there.

A creative brief cannot override mandatory rights, authorize illegal activity, or silently add advertising or ownership rights excluded from the package. Historical bookings keep their original accepted terms; later website changes do not rewrite them.

06

Content ownership and permission to operate the service

You retain rights in material you own. You grant Popriva a non-exclusive permission, limited to operating the service and administering your requested campaign, to host, store, format for technical delivery, display to authorized participants, and transmit material you submit. Necessary service providers may perform these operations on our behalf under appropriate arrangements.

This permission does not transfer ownership or authorize unrelated advertising with your music, likeness or creator work. You must hold the rights needed for the material and instructions you provide. Recipient rights are limited by the accepted brief and applicable law. Rights and evidence reasonably necessary to administer accepted work, payments, complaints and legal obligations may continue after account closure for the retention periods described in the Privacy Policy.

Popriva and its licensors retain rights in the service’s software, design, branding and materials other than user-owned content. You receive permission to use the service through its intended functionality while complying with these Terms; you may not present Popriva’s branding as your own.

07

Payments and independent services

The exact purchased price, currency and any applicable tax or separately disclosed charge must be visible before payment. New creator-commission purchases use the gross creator prices without an added artist service fee. Historical added-fee purchases retain their disclosed model. The Refund Policy explains unused allocations and disputed work.

Stripe provides payment and creator onboarding functionality. An approved earning, a transfer to a connected payment account and arrival in a bank account are different events. Provider checks, restrictions, reversals and banking delays may affect payment. Funds are not represented as escrow or an insured bank deposit held by Popriva.

TikTok and other external services have their own terms and privacy practices. Popriva is independent of TikTok. Connecting an account authorizes the particular connection and permissions shown; it does not authorize unrelated reuse of data or content. Revoking a connection may affect verification or outstanding work; contact support about existing obligations.

08

Acceptable use, safety and reports

Do not engage in fraud, fabricated engagement, infringement, harassment, discrimination, impersonation, malware, unauthorized access, credential theft, scraping that bypasses access restrictions, rate-limit evasion or interference with service availability. Do not instruct creators to conceal paid promotion or make claims they cannot honestly support.

Report illegal content, rights concerns, safety issues and suspected account compromise through the applicable reporting route or [email protected]. Include the relevant URL or booking identifier and a factual explanation. Do not include unnecessary third-party personal information.

09

Restrictions, suspension and account closure

We may restrict activity reasonably necessary to investigate fraud, security threats, rights complaints, payment problems, unlawful content or material breaches. Where lawful and appropriate, we will explain the restriction and available next steps. Immediate action may be necessary for urgent safety, legal or security reasons. We normally give a reason and a way to ask for review through support. You may submit relevant evidence and request a different authorized reviewer. We aim to acknowledge within three business days and provide a substantive response within 15 business days, or explain the additional time needed. Urgent safety action and mandatory legal deadlines take priority; notice may be delayed or limited only where law or a documented investigation requires it.

You may request account closure using the account controls or contact route described in the Privacy Policy. Closure does not itself cancel accepted work, erase legally required records or waive a valid refund or payment claim. We will address outstanding commitments, access needs and lawful retention separately.

10

Availability and warranties

We aim to provide a usable service, but availability may be interrupted for maintenance, faults, provider outages or events outside our reasonable control. Except for express contractual commitments and rights the law does not allow us to exclude, the service is provided as available without a promise of uninterrupted or error-free operation or a particular commercial result. Nothing excludes legally required standards of care, consumer remedies or other non-excludable warranties.

11

Responsibility and claims

Each party remains responsible for its own breach, negligence, unlawful conduct and other liability imposed by applicable law. We do not exclude liability that cannot lawfully be excluded, including any applicable liability for fraud, deliberate misconduct or death or personal injury caused by negligence.

To the extent permitted by applicable law, each party’s aggregate liability arising from the platform service is limited to the greater of US$100 and the platform service fees paid by that user to Popriva in the 12 months preceding the event giving rise to the claim. This limit does not apply to fraud, willful misconduct, gross negligence, death or personal injury caused by negligence, liability that cannot lawfully be limited, or obligations to pay valid creator earnings, return customer funds or provide mandatory refunds. It does not limit the agreed payment for an accepted creator service. Applicable consumer remedies remain available. For this limit, platform service fees include commissions actually deducted from your creator earnings. Gross funding passed through for a creator service is not itself a Popriva service fee.

There is no general consumer indemnity. A business user is responsible for third-party claims to the extent caused by its proven infringement of rights in materials it supplied, fraud or deliberate unlawful instructions. Popriva must promptly notify the business, allow a reasonable defense with competent counsel, cooperate reasonably and obtain written consent before a settlement imposes a non-monetary obligation or admits that business’s fault. No indemnity covers Popriva’s own negligence, misconduct or legal duties, and mandatory law and the applicable liability limits remain controlling. These Terms do not require arbitration or waive class-action rights.

12

Disputes and mandatory protections

Contact [email protected] with the relevant account, booking, facts and requested outcome so we can investigate. You retain access to any regulator, court, payment-provider dispute process or mandatory complaint route available under applicable law.

The selected governing law is the laws of the State of California, United States, excluding its conflict-of-laws rules and preserving any mandatory protections of the laws that apply to you and court venue is the state or federal courts serving Los Angeles County, California, subject to any mandatory right to bring or defend a claim in your home jurisdiction or another legally required forum, subject to mandatory consumer and other legal protections. This selection does not deprive consumers of protections or courts available under laws that cannot be displaced by agreement.

13

Changes, notices and general terms

We will identify the version and effective date of material changes and provide appropriate notice through account or contact channels. Where a new agreement is needed, it must be obtained before the affected future activity. Accepted booking terms remain preserved unless a lawful, expressly agreed change applies. A notice of policy changes is not optional marketing.

If a provision is unenforceable, the rest applies to the extent permitted by law. Failure to enforce a provision once does not waive it. Assignment or transfer of contractual responsibilities must respect applicable law and cannot remove mandatory rights. Provisions concerning earned payments, outstanding refunds, content rights, lawful retention and existing disputes continue as needed after termination.
