01

Parties, eligibility and account control

Popriva is operated by Lost Hills LLC, doing business as Popriva, formed in Wyoming, United States. Public mailing address: 1480 Colorado Blvd, Ste 200A #209, Los Angeles, CA 90041, United States. Contact: [email protected].

Effective date: October 22, 2026; applies when this version is presented for new activity and accepted where agreement is required. Document version: 2026-10-22-legal-1. These terms do not replace your previously accepted booking agreement.

These terms supplement /terms. You must be at least 18 years old and legally able to enter a binding agreement. Service availability: Worldwide, subject to applicable law, sanctions, platform eligibility and the payment provider’s supported countries; availability of an account does not guarantee eligibility to buy, accept work or receive payouts in every country. You must control the selected social account and accurately disclose any authority to act for its owner. Approval and payment readiness are required where the booking flow requires them. A legal-capacity attestation is not an identity or age verification guarantee.

Complete the applicable Stripe onboarding and provide accurate identity, account, tax and payout information when lawfully required. Provider and platform approval are distinct. Creators choose whether to accept a specific booking, supply their own original work and control how they perform the accepted creative requirements. No employment, agency or exclusivity relationship is created merely by maintaining a marketplace account. The actual facts and mandatory worker, employment and social-protection law control classification; the parties cannot contract out of those protections.

02

Reviewing and accepting a funded invitation

Review the selected social account, purchased package, recorded brief, fixed gross price, deadlines, revision allowance and public period before accepting. You may decline or let an invitation expire. The response window is 48 hours; accepting begins a separate 48-hour submission window. Your agreement is formed through the identified acceptance controls and recorded terms, not simply by appearing in artist discovery.

Your price edits apply to future purchases. Existing funded invitations retain their purchased package and revision offer. Acceptance records include the applicable terms and private commission preview. If a record appears wrong or incomplete, contact support before accepting.

03

Video and posting obligations

Create one original TikTok video on the selected account following the accepted creative direction, required elements, sound, duration and disclosure requirements. Use TikTok’s branded-content disclosure and an appropriate paid-promotion caption where required. Make honest claims and respect applicable advertising rules. Do not fabricate engagement, remove required disclosures or submit another account’s work.

You must hold rights in your own contribution and obtain permissions for third-party material you introduce. Artist-provided rights assurances do not authorize you to add uncleared music, footage or likenesses. Notify support about rights conflicts or unsafe instructions before posting.

04

Submission, revisions and public period

Submit the correct video and confirm that it follows the brief and accepted posting conditions. The recorded submission deadline is 48 hours after acceptance. Each permitted revision has a 48-hour correction window and must stay within the accepted brief and revision allowance; zero to five revisions may be purchased.

Keep the video public for the expressly accepted period. That obligation is separate from earnings release and does not create a new waiting period. Notify support promptly if TikTok removes it, the sound becomes unusable, continued publication is unlawful, or a genuine safety issue prevents performance. Preserve available evidence. A platform removal or safety issue requires a specific review; it is not automatically fraud, automatic forfeiture or an automatic release from every obligation.

05

Review, approval and later concerns

The artist has 72 hours after a verified submission to review. In the absence of a response, automatic approval is conditional on current submission verification, valid funding and clear dispute and safety checks. An unresolved hold or verification issue requires review before release.

Approved fixed-price work earns its purchased gross amount even if it receives no views. There is no additional three-day validation hold after fixed-price approval. Earning approval is separate from a provider transfer and bank receipt. A later complaint can be investigated on its evidence but does not automatically create a new hold on already released earnings or authorize a debit.

Historical bookings keep their originally accepted view-bonus, measurement, validation, pricing and payment rules. New fixed-price bookings contain no view-bonus tiers. These terms do not retroactively replace historical agreements.

06

Private commission and locked net earnings

For creator-commission bookings, the published fixed video price is a gross amount. The platform commission accepted in your private preview is deducted from earned gross to calculate net earnings. The exact rate, policy version, gross calculation and net preview are displayed before acceptance and locked for that booking. Review them before agreeing.

The applicable schedule, exact thresholds and your current rate are available in the authenticated creator workspace. No additional Popriva commission is charged on the resulting standard transfer or bank payout. Popriva does not add a second commission for a standard transfer or bank payout. Your bank or payment provider may apply separately disclosed currency-conversion or banking costs under its own applicable agreement. Popriva will not silently deduct an undisclosed extra fee from the net amount accepted for the booking.

Commission rates, loyalty tiers, net earnings and payout details are private to you and authorized staff with a relevant need. Artists receive the gross prices, funding and refund information relevant to their purchase, not your private commission schedule or net earnings.

07

Loyalty eligibility and corrections

Where the accepted commission policy includes loyalty progress, both its qualifying campaign and earned-gross thresholds must be met. Each creator-campaign group counts at most once across social accounts. Only paid, validated, positive earned work qualifies; declined, cancelled, unpaid, fraudulent and fully refunded work do not. Partial corrections adjust qualifying gross. Unused allocation does not qualify.

The private policy specifies calculation and currency rules, including cumulative rounding where applicable. Improved tiers apply prospectively to future acceptances and do not change an already locked booking rate. A correction to eligible progress or historical earning records must be based on recorded facts and the accepted policy. We provide the reason and relevant calculation for an identified error, apply only the corrections permitted by the accepted policy and applicable law, and preserve the original record and correction trail. Ask support to review the calculation and submit evidence. A different authorized reviewer will consider a disputed decision. We aim to acknowledge within three business days and respond substantively within 15 business days, subject to mandatory shorter periods.

08

Transfers, bank payouts and provider agreements

Your earnings record distinguishes earned gross, commission, net earnings, transfer status and bank payout status. Payment may depend on provider onboarding, transfer capability, bank-payout capability, account restrictions, reconciliation and a clear case status. Availability in one state does not prove availability in the next. No bank-arrival date is guaranteed.

The Stripe onboarding flow identifies the applicable account services and Stripe agreement for the recipient’s country and configuration. Review and accept that agreement in the authorized provider flow before using the relevant service. Popriva may submit requested onboarding information, check readiness and administer authorized transfers, refunds, reversals and reconciliation for marketplace transactions. Stripe’s regional terms and actual account configuration control provider services; an app status does not guarantee payout eligibility or bank arrival. You authorize transmission of the information necessary for the onboarding and payment steps you request, as described in the Privacy Policy and provider notices. Maintain accurate payment details and respond to lawful provider requests. Popriva does not describe the arrangement as escrow or promise deposit protection.

09

Tax, adjustments and complaints

Creators report and pay taxes legally due on their earnings and issue required supplier invoices. Popriva provides its own fee invoices and payment records where required and carries out withholding or platform reporting when legally required. Before requesting additional tax information or issuing a jurisdiction-specific tax form, Popriva must establish the applicable obligation and explain the requested data. Amounts displayed in the app are not a representation that income is tax-free.

A payment dispute, refund or provider reversal may require a ledger correction and investigation. A correction to a record is not, by itself, unlimited authority to debit your bank or transfer every platform loss to you. Popriva initially administers payment-provider disputes and chargebacks. It may seek a correction or recovery from a creator only to the extent supported by that creator’s attributable fraud, non-performance, an actual payment error or another express obligation in the accepted agreement that applicable law permits. We provide the grounds, amount and available evidence, allow a reasonable opportunity to respond or appeal, and preserve the audit trail. A complaint alone does not authorize recovery, unrelated earnings are not automatically forfeited, and these terms do not create an unrestricted bank-debit authority. We will assess evidence and provide the applicable explanation and review route before a disputed recovery except where law or a provider action requires otherwise.

10

Ownership, license and account closure

You keep ownership of your original video, subject to third-party rights. The standard booking covers creator posting only. Reposting, editing, paid advertising, Spark Ads authorization, whitelisting, exclusivity, off-platform reuse and ownership transfer require a separate express agreement. Neither the artist nor Popriva obtains these additional rights merely by paying for the video.

You grant the limited operating permission in /terms for authorized campaign administration and review. Closing an account or disconnecting TikTok does not erase accepted obligations or records that must lawfully be retained. Notify support to resolve ongoing work and payments. Suspension and appeal follow /terms and applicable law.

11

Acceptance wording and support

Booking acknowledgement: “I have reviewed the brief, selected account, fixed gross price, private commission and net preview, deadlines, revision allowance and public period. I accept the identified Creator Terms and Refund Policy for this booking.” Submission additionally confirms compliance with the accepted brief, sound and paid-promotion disclosure, and any required public period.

For missed deadlines, payment readiness, a disputed calculation or an unsafe or unlawful request, use the booking support route or [email protected]. Provide the booking identifier and relevant facts without sharing passwords or unnecessary payment documents.
